Vendor Terms & Conditions
Effective Date: January 3, 2026
These Vendor Terms & Conditions (“Vendor Terms”) govern the participation of vendors (“Vendor,” “you,” or “your”) on the CelebWeave platform (“CelebWeave,” “we,” “our,” or “us”).
By applying for, registering, or maintaining a vendor account, you agree to these Vendor Terms, our Terms of Use, Privacy Policy, Acceptable Use Policy, and any additional policies published by CelebWeave.
1. About CelebWeave
CelebWeave is a technology marketplace that connects event hosts and customers with independent vendors offering products and services, including but not limited to:
- Event planning
- Photography and videography
- Catering
- Decorations
- DJs and entertainment
- Makeup and beauty services
- Fashion and Aso Ebi
- Cakes and desserts
- Venues
- Transportation
- Event rentals
- Other event-related services
CelebWeave provides technology and marketplace services. Unless expressly stated otherwise, we are not a party to the service agreement between a Vendor and a customer.
2. Vendor Eligibility
To become a Vendor, you must:
- Be at least 18 years of age or the legal age of majority in your jurisdiction.
- Have the legal authority to operate your business.
- Provide accurate and complete registration information.
- Comply with all applicable laws, regulations, licensing, tax, and industry requirements.
- Successfully complete any verification required by CelebWeave.
CelebWeave reserves the right to approve or reject any application at its sole discretion.
3. Vendor Verification (KYC)
To help maintain a safe marketplace, CelebWeave may request:
- Government-issued photo identification
- Business registration documents
- Proof of address
- Bank account information for payouts
- Tax identification information where applicable
- Portfolio samples or references
- Additional documentation necessary for compliance or fraud prevention
Verification does not constitute an endorsement of the Vendor or a guarantee of future business.
4. Vendor Profile
Vendors are responsible for maintaining an accurate and up-to-date profile.
Your profile may include:
- Business name
- Business description
- Logo and images
- Portfolio
- Pricing information
- Business hours
- Service areas
- Contact details
- Social media links
- Service categories
You must ensure that all information is truthful, accurate, and not misleading.
5. Services
You agree to:
- Deliver services professionally and in accordance with your published descriptions.
- Communicate promptly with customers.
- Honor confirmed bookings.
- Maintain appropriate insurance, permits, or licenses where required.
- Provide services safely and in compliance with applicable laws.
You are solely responsible for the quality, timing, and delivery of your services.
6. Products
If you sell physical products (including Aso Ebi, fabrics, gifts, or event merchandise), you agree to:
- Accurately describe products.
- Display truthful pricing.
- Clearly communicate estimated production and delivery times.
- Fulfill orders in a timely manner.
- Comply with applicable consumer protection laws.
7. Pricing
You determine your own prices.
All pricing must:
- Be transparent.
- Clearly disclose taxes and mandatory fees where applicable.
- Avoid hidden charges.
- Reflect the final amount payable, except where optional services are selected by the customer.
8. Payments and Payouts
Payments are processed through approved third-party payment providers.
Vendor payouts are subject to:
- Successful payment collection.
- Fraud and risk review.
- Applicable processing fees.
- Compliance checks.
- CelebWeave’s payout schedule.
CelebWeave may delay or withhold payouts where reasonably necessary to investigate fraud, disputes, chargebacks, or legal compliance issues.
9. Taxes
You are solely responsible for:
- Reporting your income.
- Collecting or remitting taxes where required by law.
- Maintaining appropriate tax records.
CelebWeave does not provide tax advice.
10. Customer Communication
You agree to communicate professionally and respectfully with customers.
You must not:
- Harass customers.
- Use abusive language.
- Send spam or unsolicited marketing.
- Request confidential financial information outside approved payment channels.
11. Cancellations
If you must cancel a confirmed booking, you must notify the customer as soon as reasonably possible.
Repeated cancellations without valid reason may result in account restrictions or termination.
Customers may cancel bookings in accordance with the applicable cancellation policy and any agreed terms.
12. Refunds
Refund requests are handled in accordance with:
- CelebWeave’s Refund Policy.
- Applicable law.
- The specific circumstances of the transaction.
Where appropriate, Vendors may be required to cooperate in refund investigations and provide supporting information.
13. Reviews
Customers may leave reviews based on genuine experiences.
You may not:
- Submit fake reviews.
- Offer incentives for positive reviews without disclosure.
- Harass customers over reviews.
- Manipulate ratings.
CelebWeave reserves the right to remove reviews that violate our policies.
14. Intellectual Property
You retain ownership of your original content.
By uploading content to CelebWeave, you grant us a non-exclusive, worldwide, royalty-free license to display, reproduce, and use your content for operating, promoting, and improving the Platform.
You warrant that you own or have permission to use all uploaded content.
15. Prohibited Conduct
Vendors must not:
- Commit fraud.
- Misrepresent services.
- Upload stolen or copyrighted content without authorization.
- Sell prohibited goods or services.
- Engage in deceptive marketing.
- Circumvent CelebWeave’s payment systems where prohibited.
- Engage in discrimination or unlawful conduct.
- Violate the Acceptable Use Policy.
16. Insurance and Licenses
Where applicable, Vendors are responsible for obtaining and maintaining:
- Business licenses
- Professional certifications
- Health permits
- Liability insurance
- Any other permits required by applicable law
CelebWeave may request proof of compliance at any time.
17. Vendor Responsibility
Vendors are independent businesses.
Nothing in these Vendor Terms creates an employment, partnership, agency, or joint venture relationship between CelebWeave and any Vendor.
Vendors are solely responsible for their employees, subcontractors, taxes, and business operations.
18. Account Suspension or Termination
CelebWeave may suspend or terminate Vendor accounts for reasons including:
- Fraud or suspected fraud.
- Repeated customer complaints.
- Failure to meet quality standards.
- Failure to complete verification.
- Violation of Platform policies.
- Illegal or unsafe conduct.
Termination may result in removal of listings and loss of access to the Platform, subject to applicable legal obligations.
19. Limitation of Liability
To the fullest extent permitted by law, CelebWeave shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to the Vendor’s use of the Platform.
Our total liability to a Vendor shall not exceed the amount of platform fees paid by that Vendor to CelebWeave during the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing in these Vendor Terms limits liability where such limitation is prohibited by applicable law.
20. Indemnification
You agree to indemnify, defend, and hold harmless CelebWeave, its affiliates, officers, employees, and agents from any claims, losses, damages, liabilities, costs, or expenses arising from:
- Your services or products.
- Your breach of these Vendor Terms.
- Your negligence or misconduct.
- Your infringement of another person’s rights.
- Your violation of applicable laws.
21. Changes to these Vendor Terms
CelebWeave may update these Vendor Terms from time to time.
Material updates will be published with a revised Effective Date.
Continued use of the Platform after the Effective Date constitutes acceptance of the updated Vendor Terms.
